Company Secretary

Legislation requires all Irish companies to have a named Company Secretary with sufficient knowledge and experience in company law.  Directors have a duty to ensure that the Company Secretary has the skills and resources necessary to act as Company Secretary.

A Company Secretary can be an individual or a corporate entity.  The advantage of appointing a corporate entity, like KomSec, is that you know we meet all the legislative requirements outlined above whilst also bringing years of practical knowledge tailored to our clients needs.

As Company Secretary we provide hands-on support to clients by:

  • offering clear, independent and impartial advice;
  • ensuring compliance with corporate governance;
  • providing ‘how to guidance’ on managing and convening Director and Member meetings;
  • drafting resolutions;
  • attending Board Meetings and drafting Minutes;
  • keeping track of key filing deadlines;
  • preparing and filing statutory forms; and
  • ensuring a confidential, trusted point of communication between board members.
